The terms
of using Remo.
These Terms of Service (the “Terms”) govern your access to and use of the Remo software service available at remopilates.com and any associated mobile or web applications (collectively, the “Service”). The Service is operated by PWRHS LLC.
By creating an account, accessing the Service, or clicking a button indicating acceptance, you agree to these Terms and the Privacy Policy at remopilates.com/privacy, which is incorporated here by reference. If you are accepting on behalf of an organization (such as a studio or other entity), you represent that you have authority to bind that organization, and “you” and “your” refer to that organization.
If you do not agree to these Terms, do not use the Service.
The Service.
Remo is a software service that helps Pilates instructors record their teaching sessions, generate text transcripts of those sessions, produce AI-generated session summaries (including exercise lists, muscle and spinal-motion summaries, and longitudinal progress views), track client information, and prepare for upcoming sessions. The Service is described in further detail at remopilates.com.
We may add, modify, or discontinue features at any time. Material changes that meaningfully reduce functionality will be communicated to active users in advance where reasonably practicable.
Acceptance and eligibility.
2.1 — Acceptance
Acceptance.
You accept these Terms by creating an account, accessing the Service, or otherwise indicating acceptance. Your continued use of the Service after a change to these Terms takes effect constitutes acceptance of the change, subject to § 21 (Modifications).
2.2 — Eligibility
Eligibility.
To use the Service you must be at least 18 years old, capable of forming a legally binding contract under applicable law, and not barred from using the Service under any applicable law or sanctions program. The Service is not directed to children under 16.
2.3 — Account Registration
Account Registration.
You will provide accurate, current, and complete registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. You will notify us promptly at hello@remopilates.com if you suspect unauthorized access.
Definitions.
Capitalized terms not otherwise defined have the meanings given below. Other terms are defined where they first appear.
- “Account” means your registered Remo account.
- “AI Output” means content generated by the Service through artificial intelligence based on User Content, including but not limited to transcripts, session summaries, exercise lists, progress maps, and suggestions.
- “Client” means an individual you teach, observe, or otherwise interact with in a professional capacity, and whose information you input into the Service or whose voice may be captured during a recorded session.
- “Privacy Policy” means the privacy policy located at remopilates.com/privacy, as updated from time to time.
- “Subscriber” means the individual or entity in whose name a paid Account is registered and who is responsible for the fees.
- “User Content” means any content you submit to or generate through the Service, including session audio (which is buffered at the device and in our storage only for as long as transcription requires, and is not retained by Remo as audio thereafter), text transcripts, AI-generated summaries (including any subsequent edits you make), client profiles, notes, intake responses, tags, and any other information you input.
Subscriptions, trials, and billing.
4.1 — Free Trial
Free Trial.
New Subscribers may be eligible for a free trial period. The trial’s length and included features are described at signup and may change at our discretion. We may revoke trial access if we suspect abuse.
4.2 — Paid Subscriptions
Paid Subscriptions.
After any trial, continued use of the Service requires a paid subscription at the rates posted at remopilates.com or otherwise agreed in writing. Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). By starting a paid subscription, you authorize us, and our payment processor, to charge your designated payment method on each renewal date until you cancel.
4.3 — Auto-Renewal
Auto-Renewal.
Subscriptions automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. We will provide notice of upcoming renewal where required by law.
4.4 — Price Changes
Price Changes.
We may change subscription prices. We will notify you at least thirty (30) days before a price change takes effect on your renewal. If you do not agree to the new price, you may cancel your subscription before the change takes effect; the new price applies if you do not cancel.
4.5 — Cancellation; Refunds
Cancellation; Refunds.
You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period; you retain access until then. Except where required by applicable law, fees already paid are non-refundable. We may issue refunds at our discretion in circumstances we consider reasonable.
4.6 — Failed Payments
Failed Payments.
If a payment fails, we may retry, suspend the Account, or terminate the Account if the failure is not cured within a reasonable cure period.
4.7 — Taxes
Taxes.
Prices are exclusive of taxes. You are responsible for any sales, use, value-added, GST, or similar taxes associated with your purchase, except for taxes on our net income.
Your content.
5.1 — Ownership
Ownership.
You retain all right, title, and interest in and to your User Content. We do not claim ownership of your transcripts, session summaries, client information, or notes.
5.2 — License to Operate the Service
License to Operate the Service.
You grant Remo a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, modify, display, and create derivatives of User Content solely as necessary to (a) provide, maintain, secure, and improve the Service for you; (b) generate AI Output for you; and (c) comply with law. This license terminates with respect to particular User Content when you delete it or your Account, except for archival or backup copies retained for the limited periods described in our Privacy Policy.
5.3 — No Use for Foundation-Model Training
No Use for Foundation-Model Training.
We will not use your User Content to train general-purpose, foundation, or large language models, whether ours or a third party’s. If we ever wish to use your User Content to train or fine-tune models that power the Remo Service specifically, we will request your explicit, opt-in consent.
5.4 — Suggestions Derived From Your Content
Suggestions Derived From Your Content.
Any programming suggestions, themes, recurring patterns, or progress observations surfaced within your Account are derived from your own User Content and from publicly available sources. They are not derived from any other user’s data.
5.5 — Responsibility for User Content
Responsibility for User Content.
You are solely responsible for your User Content, including its legality, accuracy, and your authority to submit it. You represent and warrant that you have all rights, consents, and authority necessary to submit your User Content to the Service for the purposes described in these Terms.
Audio and how it is processed.
When you press record, the Service captures audio at your device and stores each chunk locally on that device before uploading it to our storage, from which it is transmitted to a third-party transcription provider for conversion to text. Audio chunks are deleted from the device and from our storage once the corresponding transcript has been stored, and are not retained by Remo as audio thereafter. A chunk that cannot be uploaded remains on the recording device until it is uploaded or for seven days, whichever occurs first. Only the resulting text transcript is stored. The text transcript is the basis for all subsequent AI Output. Specifics on data flow are described in the Privacy Policy.
Recording, consent, and third parties.
Read carefully
This § 7 is critical.
7.1 — You Control Recording
You Control Recording.
The Service captures audio only when you initiate a recording. You decide when to start and stop a recording, and which Account a recording is associated with.
7.2 — Your Consent Obligations
Your Consent Obligations.
You represent and warrant that, before initiating any recording in which any third party (including a Client) is or may be present or audible, you have:
- obtained any consents required by applicable law, including (where required) all-party (a.k.a. two-party) consent for audio recording in jurisdictions such as California, Connecticut, Delaware, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon (in-person), Pennsylvania, Vermont, and Washington;
- made any disclosures required by applicable law regarding the recording, the use of an automated transcription service, the storage of transcripts, the use of AI to generate summaries, and the third-party processors involved; and
- obtained any consents required to process information about that person’s health, physical condition, injury history, pain, or other sensitive categories of personal information.
7.3 — Health-Information Sensitivity
Health-Information Sensitivity.
Pilates sessions frequently include discussion of injuries, post-surgical status, pregnancy or post-natal status, pain, and other health-adjacent topics. You acknowledge that some U.S. states (including Washington under the My Health My Data Act and Nevada under SB 370) and certain non-U.S. jurisdictions impose additional consent or notice requirements when collecting or processing such information. You are solely responsible for compliance with those laws as applied to your relationship with your Clients.
7.4 — Remo Does Not Manage Client Consent
Remo Does Not Manage Client Consent.
Remo does not collect Client consent on your behalf, does not maintain consent records for your Clients, and is not a covered entity, business associate, or other intermediary with respect to your Clients under HIPAA, the California Confidentiality of Medical Information Act, the Washington My Health My Data Act, or similar laws. You are solely responsible for managing the consent relationship with each Client.
7.5 — Client Requests
Client Requests.
If a Client contacts Remo directly with a request relating to their information, we will, where practicable, redirect them to you. If we receive a request that we are required to act on by applicable law (for example, a verifiable consumer request under a state privacy statute), we will cooperate reasonably with you to satisfy that request.
AI-generated content.
8.1 — How AI Output Is Generated
How AI Output Is Generated.
The Service uses third-party AI providers, currently OpenAI and AssemblyAI (for transcription) and Anthropic (for summarization and analysis), to produce AI Output. Subprocessors may change; the current list is maintained in the Privacy Policy.
8.2 — No Guarantee of Accuracy
No Guarantee of Accuracy.
AI Output is generated automatically and may be incomplete, inaccurate, biased, or unsuitable for your particular use. You are responsible for reviewing AI Output before relying on it. AI Output is not advice.
8.3 — Not Medical, Therapeutic, or Diagnostic Advice
Not Medical, Therapeutic, or Diagnostic Advice.
The Service is not a medical device. AI Output and any other Service feature do not constitute medical advice, physical-therapy advice, athletic-training advice, diagnosis, treatment, or professional opinion. You are responsible for any professional decision you make in connection with a Client and for advising your Clients to consult appropriately licensed professionals where indicated. You acknowledge that suggestions surfaced by the Service are not personalized clinical recommendations and must be evaluated by you using your own professional judgment.
8.4 — Your Edits
Your Edits.
You may edit AI Output. After editing, the resulting content remains User Content under § 5.
Acceptable use.
You will not, and will not permit any third party to:
- use the Service to violate any applicable law or any right of another person;
- record any individual without obtaining the consents required under § 7;
- use the Service to harass, threaten, defame, or harm any individual;
- submit User Content that infringes a third party’s intellectual property, privacy, publicity, or other rights;
- submit User Content that is unlawful, deceptive, or designed to manipulate or evade Remo’s safety controls;
- upload malicious code or attempt to gain unauthorized access to the Service or other accounts;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service except to the extent applicable law expressly permits;
- scrape, harvest, or systematically extract data from the Service except as permitted by an authorized export feature;
- resell, sublicense, lease, or redistribute the Service or AI Output as a standalone offering;
- use the Service to develop a competing product or service;
- interfere with or disrupt the Service, including by introducing excessive load or denial-of-service activity;
- circumvent technical or rate-limiting controls; or
- use the Service in any safety-critical context or in any decision where AI errors could result in death, personal injury, or serious physical harm.
We may suspend or restrict Accounts that violate this § 9 in our reasonable discretion. Where practicable we will notify you and give you an opportunity to cure.
Beta features.
From time to time we may make features available on a beta or preview basis (“Beta Features”). Beta Features are provided “AS IS,” without warranty, may be changed or removed at any time, and may have limited or no support. Data produced via a Beta Feature may be deleted when the Beta Feature ends, and § 16 (Limitation of Liability) applies in full.
If you participate in a Service-wide beta program and do not start a paid subscription within three (3) months after the beta program ends, your Account and User Content may be deleted as described in the Privacy Policy. We will email you before deletion.
Privacy.
Our handling of personal information is described in the Privacy Policy at remopilates.com/privacy. The Privacy Policy is incorporated into these Terms by reference. By using the Service you acknowledge the data practices described in the Privacy Policy.
Subprocessors.
We use third-party subprocessors to operate the Service. As of the Effective Date, our subprocessors include Supabase (database and authentication), Anthropic (AI summarization), OpenAI (audio transcription), Vercel (hosting and privacy-preserving analytics), Resend (transactional email), and Kit (marketing email). The current list and a description of each subprocessor’s role is maintained in the Privacy Policy. We will update the list when subprocessors change.

If you provide suggestions, ideas, or feedback about the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, and incorporate the Feedback into the Service or any other product, without restriction or compensation. We will not publicly attribute Feedback to you without your permission.
Indemnification.
You will defend, indemnify, and hold harmless Remo, its affiliates, and their respective officers, employees, contractors, and agents (the “Remo Parties”) from and against any third-party claim, demand, loss, damage, judgment, settlement, fine, penalty, or expense (including reasonable attorneys’ fees) arising out of or related to:
- your User Content (including AI Output as edited or used by you);
- any recording you made or caused to be made using the Service, including any claim by a Client or other recorded individual;
- your breach of § 7 (Recording, Consent, and Third-Party Information) or § 9 (Acceptable Use);
- your violation of any applicable law or any right of a third party;
- any professional decision, recommendation, or program you delivered to a Client in connection with the Service or AI Output; and
- your breach of these Terms.
We will provide you prompt written notice of the claim, reasonable cooperation at your expense, and (subject to our reasonable approval of counsel and any settlement requiring an admission of wrongdoing or non-monetary relief from us) sole control of the defense and settlement.
Disclaimers.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE, AI OUTPUT, AND ALL RELATED CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR PURPOSE.
THE SERVICE IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL, THERAPEUTIC, OR DIAGNOSTIC ADVICE.
Some jurisdictions do not allow exclusion of certain warranties; in those jurisdictions, the disclaimers in this § 16 apply to the maximum extent permitted by law.
Limitation of liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER REMO NOR THE OTHER REMO PARTIES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO REMO FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
The limitations in this § 17 apply to the maximum extent permitted by applicable law and apply even if any limited remedy fails of its essential purpose.

18.2 — Termination by You
Termination by You.
You may terminate at any time by emailing hello@remopilates.com.

Where practicable, we will give you advance notice and an opportunity to cure.

Effect of Termination.
Upon termination, your right to access the Service ends. We will handle your User Content in accordance with the retention schedule in the Privacy Policy. Sections that by their nature should survive termination (including §§ 5.1, 5.5, 7, 8.2–8.3, 13, 14, 15, 16, 17, 19, 20, and 22) will survive.
Governing law and dispute resolution.
19.1 — Governing Law
Governing Law.
These Terms, and any dispute arising out of or related to these Terms or the Service, are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Courts (Fallback).
If § 19.4 (or any portion of it) is held unenforceable, then any action arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Alameda County, California, and you and Remo each consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
19.4 — Forum

The arbitration will take place in Alameda County, California (or, at your election, in the U.S. county where you reside), and the arbitrator’s decision is final and may be entered as a judgment in any court of competent jurisdiction. YOU AND REMO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. If this class-action waiver is held unenforceable, the entirety of this § 19.4 is null and void, and the dispute will be resolved under § 19.3 instead.
19.5 — Equitable Relief

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, or to prevent material breach pending resolution of the underlying dispute.

In the course of using the Service, you may receive non-public information from us, including pricing, roadmap discussions, unreleased features, and similar information (“Confidential Information”). You will not disclose Confidential Information to any third party except as required by law and will use Confidential Information only as necessary to use the Service.
Modifications to these terms.
We may update these Terms from time to time. If a change is material, we will provide notice by email to active Subscribers at least thirty (30) days before the change takes effect, and we will revise the Effective Date. You may not assign these Terms or any rights under them without our prior written consent, and any attempted assignment in violation of this § 22.3 is void.
